Common Questions Answered
Common Questions Answered About Our Services and Products
What types of companies does your private equity firm target for acquisition?
Our firm focuses on acquiring small and medium-sized We target lower middle market companies—typically with $5M+ in EBITDA, 25%+ gross margins, and low to moderate capital intensity. We look for businesses with strong or niche market positions, especially those that could benefit from a more institutional foundation or strategic partner.

We’re a fit for founder- or family-owned companies facing succession planning, teams seeking growth or partial liquidity, and underperforming businesses with operational or financial complexity. Our sweet spot includes buyouts, recapitalizations, corporate carve-outs, and special situations where we can add value through strategy, business development, and our institutional network.

What sets your private equity firm apart from others in the market?

What sets us apart is our operator-first mindset and deep experience across both entrepreneurship and institutional investing. Our founder, Kingchih Fan, is a serial entrepreneur and former Operating Partner at The Riverside Company, with a track record that includes building and exiting companies like LiftDNA and investing in businesses such as OpenX and SIB Fixed Cost Consulting. That blend of founder empathy and private equity discipline runs through everything we do.

We take a partnership-first approach—working closely with founders and management teams as strategic allies, not just capital providers. We focus on alignment, long-term growth, and unlocking hidden value through thoughtful structure, digital enablement, and business development. Our acquisitions reflect this: strong niche businesses ready to scale with the right partner beside them. We’re not here to just own a company—we’re here to build with you.

How does your private equity firm approach the acquisition process?

We know that for many owners—especially those running family-founded businesses—the sale process can feel overwhelming and deeply personal. That’s why we’ve designed our acquisition process to be low-disruption and high-trust, with the goal of making the experience additive, not exhausting.

It all starts with a no-pressure conversation to explore fit. If there’s alignment, we’ll visit the business, walk the floor, and get a feel for operations firsthand. From there, we move quickly to share a clear indication of interest—centered around the top 2–3 drivers of value that matter most to both sides.

We often bring in trusted partners early in the process—whether for co-investment, operational expertise, or strategic alignment—but always under strict confidentiality to protect the integrity of the process and the business.

Once aligned, we move into an exclusive letter of intent, followed by confirmatory diligence that’s focused, respectful, and tailored to minimize disruption. We’re experienced in working with first-time sellers and pride ourselves on being transparent, thoughtful partners every step of the way.

How do you work with owners post acquisition?

We don’t get involved in the day-to-day unless absolutely necessary—but we’re deeply engaged where it matters. Our role is to support management in executing the investment strategy and unlocking long-term value.

We give leadership teams the freedom to run the business while offering hands-on support when needed—whether it’s acting as a strategic sounding board, helping evaluate growth opportunities, recruiting key talent, or driving specific initiatives.

Our involvement often leads to measurable gains in business development, cost savings, operational efficiency, financial reporting, banking relationships, and governance.

From day one, we bring a strategic lens to the table. That might mean introducing a value-add co-investor, bringing on a seasoned board member, or facilitating access to new customers or vendors. We ask tough, unbiased questions during diligence to uncover angles others might miss—and we stay committed as partners long after the deal is done.
